LEGAL AGREEMENT

Terms & Conditions

Effective Date: January 1, 2026 • Governs access to services and platform operations provided by MosGrid Technologies Pvt. Ltd., Visakhapatnam, India.

01. Acceptance of Terms

By accessing or utilizing any web service, engineering portal, candidate application pipeline, or consulting engagement offered by MosGrid Technologies Pvt. Ltd. ("MosGrid", "the Company"), you agree to be bound by these Terms and Conditions.

If you do not agree with any provision stated herein, you must cease use of our services and candidate submission portals immediately.

02. VLSI Engineering & Consultancy Engagements

All semiconductor engineering services—including RTL architecture, Design Verification (DV), Design for Testability (DFT), Physical Design (PD), Analog Layout, and Static Timing Analysis (STA)—are executed under bilateral Statements of Work (SOW) or master service agreements.

  • Project schedules, deliverables, milestone acceptance criteria, and toolchain configurations are defined strictly within individual contract agreements.
  • Modifications to design scope, PDK transitions, or foundry sign-off requirements must be agreed upon in writing.

03. Intellectual Property & Confidentiality

Semiconductor development requires rigorous intellectual property safeguards:

  • Client IP Ownership: All custom netlists, RTL source codes, constraint setups, and design floorplans provided by our clients remain their exclusive intellectual property.
  • MosGrid Tooling IP: Pre-existing internal automation scripts, EDA flow wrappers, and pedagogical modules remain the intellectual property of MosGrid Technologies.
  • NDA Priority: Executed Non-Disclosure Agreements supersede these terms regarding specific silicon designs, tape-out specifications, or foundry secrets.

04. Talent Registration & Candidate Placement

Candidates submitting profiles through the Candidate Portal agree to the following obligations:

Accuracy of Information: Applicants warrant that all credentials, educational degrees, work history, CAD/EDA skill self-evaluations, and resume documents submitted are accurate, truthful, and free of misrepresentation.

  • Submission of a profile does not create an employment contract or guarantee an immediate job offer.
  • MosGrid acts as an engineering talent consultancy matching vetted engineers with domestic partner design houses and core semiconductor enterprises.
  • Any candidate found to have submitted falsified experience or fraudulent certifications will face immediate disqualification.

05. Platform Use & Security Restrictions

When utilizing the MosGrid platform or dropzone upload endpoints, you agree not to:

  • Upload executable binaries, malware, corrupted archives, or files exceeding the 10MB limit.
  • Utilize automated crawlers, scrapers, or bot scripts to harvest job postings or candidate data.
  • Interfere with or bypass server security, rate limiters, or Google Apps Script API endpoints.

06. Limitation of Liability

To the maximum extent permitted under applicable law, MosGrid Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, or consequential damages resulting from platform downtime, tape-out fab delays attributable to third-party foundries, or hiring decisions made by third-party partner enterprises.

07. Governing Law & Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of India.

Jurisdiction: Any dispute, controversy, or claim arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts located in Visakhapatnam, Andhra Pradesh, India.
